Catalyst advised on the sale of White Rose Environmental (WRE) to Stericycle Inc.
Based in Leeds, WRE is a leading provider of clinical waste management services in the UK, employing over 400 staff nationally. The company operates 13 sites across England.
Stericycle Inc, a publicly traded company in the USA, has been North America's largest provider of medical waste services since 2000. The group has over 430,000 customers worldwide.
What difference did we make?
Catalyst helped the shareholders prepare the business for sale over twelve months before a formal sales process was started.
Part of this work involved commissioning thorough environmental and operational due diligence reports to help identify any potential issues and manage information flow with the buyers.
As well as marketing the business to trade buyers, the shareholders were also keen to consider the feasibility and deliverability of a secondary management buy-out. Catalyst therefore marketed the business to both a short list of strategic trade buyers and private equity firms.
Indicative offers were received from a number of parties and ultimately exclusivity was granted to Stericycle Inc and due to the time we had spent preparing the business for sale they were able to complete the deal in six weeks with no reduction in price from their indicative offer.
