Catalyst advised the management of Integrity Software on the £26 million management buy-out funded by Graphite Capital.

Operating from 4 sites in the UK together with international offices in Ireland and Denmark, Integrity develops and supplies industry leading Windows-based software applications for small to medium-sized construction companies, office products and stationery trade suppliers, and niche retailers such as hair and beauty salons and builders merchants.

What difference did we make?

The MBO of Integrity was a highly complex transaction with a number of different challenges to be addressed.

Not only had the business been through a significant period of restructuring, but with over 500 existing shareholders to satisfy and a business that included fast growing international operations, the new management team had a large challenge to meet in order to deliver a business plan to funders and get a deal done.

We were able to overcome these challenges through a combination of thorough preparation and planning and the use of a range of innovative structuring solutions.
