Catalyst advised the management of Ramesys Education on their management buy-out funded by LDC.

Ramesys Education is a leading provider of ICT solutions to the UK education and corporate sector. It supplies over 12,000 primary and secondary schools, both directly and through over 80 Local Education Authorities (LEAs), 5 Regional Broadband Consortiums (RBCs) and the Specialist Schools Trust.

Ramesys offers a range of ITC solutions including Assimilate, the highly respected learning platform for schools, software licensing, online content, infrastructure services and managed services.

What difference did we make?

Catalyst worked alongside the management team from a very early stage in the sale process to support their desire to acquire the business.

We provided advice on the key implications and features of an MBO process, illustrating and comparing potential deal structures and summarising probable risks and returns of a deal from the management team’s perspective. Crucially, we led negotiations on the equity investment terms and provided an independent review of banking offers, ensuring sufficient headroom in covenants and a favourable working capital position.

Additionally, Catalyst acted as a 'sounding board' for management’s queries throughout, assisted in the collation of future exit strategy thoughts and helped ensure the management team achieved the best deal upon which to build the business going forward.
